The following standard conditions of contract will apply to all work carried out by Dark Horse Interiors unless specifically amended in writing by Dark Horse Interiors prior to the commencement of work. The Client is the person, company, authority or other body who instructs Dark Horse Interiors to carry out the work. The contract is between the Client and Dark Horse Interiors and will be subject to the following terms.
Invoices will be billed to you at the beginning of the project. All additional work, changes to the design after sign off, or any additional expenses will be addressed through a Client Change Authorisation (CCA) route. Dark Horse Interior’s rates are as follows:
Interior Designer £28 per hour / £195 a day
All rates are subject to change, and we reserve the right to adjust our rates annually. Invoices must be paid in full within 14 days of the date of invoice. If any element of an invoice issued by Dark Horse Interiors is disputed by the Client, the payment of the undisputed remainder of the invoice shall not be withheld. It is the Clients responsibility to notify Dark Horse Interiors of any disputed elements within an invoice 5 days prior to the invoice payment Due Date. Interest shall be payable at 5% above the Bank of England Base Rate on any sums due to Dark Horse Interiors outstanding more than 14 days after the invoice Due Date for payment.
VAT will not be included on any services.
Any expenses such as travel, printing, communication, courier and postal, overnight accommodation and sustenance will be charged at cost at the point of invoicing.
All material produced by Dark Horse Interiors will remain the property of Dark Horse Interiors until paid for in full. Dark Horse Interiors retains Copyright and Intellectual Property of all material produced by Dark Horse Interiors ,such as interior design concept, sketches, plans and 3D drawings, samples, swatches etc.
The contents supplied by Dark Horse Interiors must not be copied, distributed or altered in whole or in part without written consent of Dark Horse Interiors. Where Dark Horse Interior reports include copyright third party material, such as plans or photography, copyright issues or payment will be the responsibility of the Client. Dark Horse Interiors reserves the rights to photograph the Project and to be identified as Designers of the Project in all Project marketing materials.
Dark Horse Interiors scope and services are for Interior Design only and exclude services and scope carried out by other consultants such as Architects, Mechanical, Electrical and Plumbing consultant, Structural Engineer and Contractors. This applies to all fit outs, modifications and extensions and new builds.

Dark Horse Interiors will not accept any responsibility for delays or consequential costs in relation to additional works instructed by the Client, requests for information and response times from statutory and non- statutory organisations.
Dark Horse Interiors will make no representations regarding suitability for use of the site, its condition or existing structures. Dark Horse Interiors is not responsible for the condition of these elements for re-use. Dark Horse Interiors has no responsibility for detection or removal of hazardous substances or for construction site safety (save for its obligations under CDM Regulations) and means and methods of constructions used by the contractor. Dark Horse Interiors shall be entitled to rely upon the accuracy and completeness of all information provided by the Client.
Both parties shall comply with their respective obligations under the Construction, Design and Management (CDM) Regulations 2015. As a Designer, Dark Horse Interiors shall cooperate with the Principal Designer and Principal Contactor appointed by the Client for the purposes of the regulations.
Either party may terminate this Agreement at any time with or without cause by written notice. Termination shall be affective 7 days after notice. Upon Termination, all invoices presented by Dark Horse Interiors for Services and Expenses for periods prior to the date of termination shall become immediately due and payable. Failure of the Client to make payments to Dark Horse Interiors under this Agreement shall be cause for suspension and termination. In the event of a suspension of Services, Dark Horse Interiors shall have no liability to the Client for the delay or damage incurred arising from such suspension.
